Exclusive Agency Agreement

　　本協(xié)議于1992年9月20日在中國(guó)青島由有關(guān)雙方在平等互利基礎(chǔ)上達(dá)成，按雙方同意的下列條件發(fā)展業(yè)務(wù)關(guān)系：

　　This agreement is made and entered into by and between the parties concerned on September 20,1992 in Qingdao, China on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follow:

　　2.委任Appointment

　　甲方指定乙方為其獨(dú)家代理，為第三條所列商品從第四條所列區(qū)域的顧客中招攬訂單，乙方接受上述委任。Party A hereby appoints Party B as its Exclusive Agent to solicit orders for the commodity stipulate in Article 3 from customers in the territory stipulated in Article 4,and Party B accepts and assumes such appointment.

　　“金魚(yú)”牌洗衣機(jī)。“Golden Fish”Brand Washing Machines

　　4.代理區(qū)域

　　 Territory

　　僅限于新加坡In Singapore only

　　5.最低業(yè)務(wù)量

　　 Minimum turnover

　　乙方同意，在本協(xié)議有效期內(nèi)從上述代理區(qū)域內(nèi)的顧客處招攬的上述商品的訂單價(jià)值不低于10萬(wàn)美元。Party B shall undertake to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement for not less than USD 100,000,00.

　　6.價(jià)格與支付

　　 Price and Payment

　　每一筆交易的貨物價(jià)格應(yīng)由乙方與買主通過(guò)談判確定，并須經(jīng)甲方最后確認(rèn)。付款使用保兌的、不可撤銷的信用證，由買方開(kāi)出，以甲方為受益人。信用證須在裝運(yùn)日期前15天到達(dá)甲方。The price for each individual transaction shall be fixed through negotiations between Party B and the buyer, and subject to Party A's final confirmation.Payment shall be made by confirmed, irrevocable L/C opened by the buyer in favor of Party A ,which shall reach Parth A 15 days before the date of shipment.

　　7.獨(dú)家代理權(quán)

　　 Exclusive Right

　　基于本協(xié)議授予的獨(dú)家代理權(quán)，甲方不得直接或間接地通過(guò)乙方以外的渠道向新加坡顧客銷售或出口第三條所列商品，乙方不得在新加坡經(jīng)銷、分銷或促銷與上述商品相競(jìng)爭(zhēng)或類似的產(chǎn)品，也不得招攬或接受以到新加坡以外地區(qū)銷售為目的的訂單，在本協(xié)議有效期內(nèi)，甲方應(yīng)將其收到的來(lái)自新加坡其他商家的有關(guān)代理產(chǎn)品的詢價(jià)或訂單轉(zhuǎn)交給乙方。In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customers in Singapore through channels other than Party B; Party B shall not sell, distribute or promote the sales of any products competitive with or similar to the above commodity in Singapore and shall not solicit or accept orders for the purpose of selling them outside Singapore. Party A shall refer to Party B any enquiries or orders for the commodity in question received by Party A from other firms in Singapore during the validity of this agreement.#p#分頁(yè)標(biāo)題#e#

　　8.商情報(bào)告Market Report

　　為使甲方充分了解現(xiàn)行市場(chǎng)情況，乙方承擔(dān)至少每季度一次或在必要時(shí)隨時(shí)向甲方提供市場(chǎng)報(bào)告，內(nèi)容包括與本協(xié)議代理商品的進(jìn)口與銷售有關(guān)的地方規(guī)章的變動(dòng)、當(dāng)?shù)厥袌?chǎng)發(fā)展趨勢(shì)以及買方對(duì)甲方按協(xié)議供應(yīng)的貨物的品質(zhì)、包裝、價(jià)格等方面的意見(jiàn)。乙方還承擔(dān)向甲方提供其他供應(yīng)商類似商品的報(bào)價(jià)和廣告資料。In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc. of the goods supplied by Party A under this agreement. Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers.

　　9.廣告及費(fèi)用Advertising and Expenses

　　乙方負(fù)擔(dān)本協(xié)議有效期內(nèi)在新加坡銷售代理商品做廣告宣傳的一切費(fèi)用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準(zhǔn)。Party A shall bear all expenses for advertising and publicity in connection with the commodity in question in Singapore within the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for prior approval.

　　10.傭金Commission

　　對(duì)乙方直接獲取并經(jīng)甲方確認(rèn)接受的訂單，甲方按凈發(fā)票售價(jià)向乙方支付5%的傭金。傭金在甲方收到每筆訂單的全部貨款后才會(huì)支付。Party A shall pay Party B a commission of 5% on the net invoiced selling price on all orders directly obtained by Party B and accepted by party A. No commission shall be paid until Party A receives the full payment for each order.

　　11.政府部門間的交易Transactions Between Governmental Bodies

　　在甲、乙雙方政府部門之間達(dá)成的交易不受本協(xié)議條款的限制，此類交易的金額也不應(yīng)計(jì)入第五條規(guī)定的最低業(yè)務(wù)量。Transactions concluded between govenmental bodies of Party A and Party B shall not be restricted by the terms and conditions of this agreement, nor shall the amount of such transactions be counted as part of the turnover stipulated in Article 5.

　　12.工業(yè)產(chǎn)權(quán)Industrial Property Rights

　　在本協(xié)議有效期內(nèi)，為銷售有關(guān)洗衣機(jī)，乙方可以使用甲方擁有的商標(biāo)，并承認(rèn)使用于或包含于洗衣機(jī)中的任何專利商標(biāo)、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨(dú)家擁有。一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護(hù)甲方權(quán)益。Party B may use the trade-marks owned by Party A for the sale of the Washing Machines covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the Washing Machines shall remain to be the sole properties of Party A. Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter's rights.

　　13.協(xié)議有效期Validity of Agreement

　　本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為1年，從1992年10月1日至1993年9月30日。除非作出相反通知，本協(xié)議期滿后將延長(zhǎng)12個(gè)月。This agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from October 1, 1992 to September 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.#p#分頁(yè)標(biāo)題#e#

　　14.協(xié)議的終止Termination

　　在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權(quán)終止協(xié)議。During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.

　　15.不可抗力Force Majeure

　　由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或協(xié)議一方無(wú)法預(yù)見(jiàn)、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

　　16.仲裁Arbitration

　　因履行本協(xié)議所發(fā)生的一切爭(zhēng)議應(yīng)通過(guò)友好協(xié)商解決。如協(xié)商不能解決爭(zhēng)議，則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(北京)，依據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力。All disputes arising from the performance of this agreement shall be settled through friendly negotiation. Should no settlement be reached throught negotiation, the case shallthen be submitted for arbitration to the China International Economic and Trade Arbitration Commission (Beijing) and the rules of this Commission shall be applied. The award of the arbitration shall be final and binding upon both parties.
